Agreement

These Terms of Service ("Terms") govern your access to and use of the ADXECUTE MEDIA website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

ADXECUTE MEDIA provides performance marketing services including but not limited to paid media management, conversion rate optimisation, analytics, creative strategy, and SEO.

Eligibility & Acceptance

By using our services, you represent that you are at least 18 years of age, have the legal authority to enter into binding agreements on behalf of yourself or your organisation, and will use our services only for lawful business purposes.

These Terms may be updated from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.

Services & Engagement

The specific services to be provided, deliverables, timelines, and fees will be set out in a separate Statement of Work (SOW) or service agreement signed between ADXECUTE MEDIA and the client. In the event of conflict between these Terms and a specific SOW, the SOW shall prevail.

• ADXECUTE MEDIA will provide services with reasonable skill and care in accordance with industry standards.
• You agree to provide accurate, complete, and timely information, access, and approvals required for us to perform services.
• Performance marketing results depend on numerous factors including market conditions, ad platform algorithms, and creative quality. We do not guarantee specific ROAS or revenue outcomes.
• We reserve the right to decline any engagement or client at our discretion.

Fees & Payment

Fees for services are as agreed in the applicable SOW or engagement letter. Unless otherwise specified:

• Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
• Late payments may incur interest at the rate of 1.5% per month on the outstanding balance.
• Ad spend budgets are separate from ADXECUTE MEDIA's service fees and are managed through client-owned advertising accounts wherever possible.
• Fees are non-refundable once services have commenced, unless agreed otherwise in writing.

Intellectual Property

Unless otherwise agreed in a separate agreement:

• All creative assets, strategies, frameworks, and reports produced by ADXECUTE MEDIA for a client become the client's property upon full payment of applicable fees.
• Proprietary methodologies, tools, templates, and processes developed by ADXECUTE MEDIA remain the exclusive property of ADXECUTE MEDIA.
• You grant ADXECUTE MEDIA a non-exclusive licence to use your brand assets, content, and materials solely for the purpose of performing the agreed services.
• ADXECUTE MEDIA may reference the client relationship and general outcomes for marketing purposes (e.g., case studies) unless you expressly request confidentiality in writing.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information received from the other party and to use such information solely for purposes of the engagement. This obligation survives termination of the engagement for a period of three (3) years.

Confidential information does not include information that is publicly available, was already known to the receiving party, or is required to be disclosed by law.

Prohibited Uses

You agree not to use ADXECUTE MEDIA's services or website for any unlawful, harmful, or deceptive purpose, including:

• Promoting illegal products, services, or activities
• Distributing spam, malware, or engaging in phishing
• Violating any applicable advertising platform policies (Meta, Google, TikTok, etc.)
• Infringing third-party intellectual property rights
• Misrepresenting your identity, business, or products in advertising

Violation of these restrictions may result in immediate termination of services without refund.

Limitation of Liability

To the fullest extent permitted by applicable law, ADXECUTE MEDIA's total liability to you for any claims arising out of or in connection with our services shall not exceed the total fees paid by you to ADXECUTE MEDIA in the three (3) months preceding the claim.

ADXECUTE MEDIA shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

We are not responsible for decisions made by advertising platforms, algorithm changes, or third-party service outages that affect campaign performance.

Termination

Either party may terminate ongoing services by providing 30 days' written notice, unless a different notice period is specified in the applicable SOW. ADXECUTE MEDIA may terminate services immediately if you breach these Terms or engage in prohibited conduct.

Upon termination, you will pay for all services rendered up to the termination date. ADXECUTE MEDIA will return client-owned assets and provide reasonable transition assistance.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with applicable Indian law. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
